VERITO UNIVERSAL TERMS OF USE

These Verito Universal Terms of Use (these "Terms") are entered into by and between Verito Inc. ("Verito," "we," "us," or "our") and each person or entity that accesses or uses the Site or any Services to which these Terms apply ("you" or "your"). These Terms govern your access to and use of the Site and, where applicable, certain general aspects of your access to and use of the Services. If you are using the Site or any Services on behalf of a company, organization, or other entity, you represent and warrant that you have authority to bind that entity to these Terms, and "you" and "your" refer to both you and that entity.

ACCEPTANCE OF TERMS

BY ACCESSING OR USING THE SITE, CREATING AN ACCOUNT, CLICKING TO ACCEPT, SUBMITTING AN ORDER OR REQUEST THROUGH THE SITE, OR ENTERING INTO A COVERED AGREEMENT, YOU ACCEPT AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS OR LACK AUTHORITY TO BIND THE APPLICABLE ENTITY, DO NOT ACCESS OR USE THE SITE OR ANY APPLICABLE SERVICES.

Definitions

Affiliate

means, with respect to a party, any entity that directly or indirectly controls, is controlled by, or is under common control with that party.

Covered Agreements

means the separate service-specific agreements, statements of work, order forms, quotes accepted by the parties, service descriptions expressly incorporated by reference, or other written or electronic agreements that govern applicable Services. Covered Agreements may include, but are not limited to, Verito's Cloud Hosting Terms of Service, Managed IT Service Provider Agreement, VeritShield WISP Services Agreement, statements of work issued under those agreements, order forms, and the Verito Data Processing Addendum ("DPA"), where applicable.

Purchased Services

means Services that you purchase, order, subscribe to, or otherwise receive from Verito under an applicable Covered Agreement.

Services

means, collectively, any products, services, software, platforms, professional services, managed services, hosted services, support services, portals, environments, tools, functionality, or other offerings that Verito makes available, whether through the Site or otherwise.

Site

means Verito's websites, including verito.com, all subdomains and pages thereof, and all content, functionality, forms, downloads, tools, portals, knowledge resources, and online materials made available by Verito through or in connection with those websites, excluding any third-party sites or services.

1. Scope Covered Agreements Order of Precedence

1.1

These Terms govern your access to and use of the Site and for general interactions with Verito through the Site, including inquiries, account creation, ordering workflows, support portals, downloadable materials, communications, and other online functionality that links to or incorporates these Terms.

1.2

Certain Services offered by Verito are governed by separate service-specific agreements, statements of work, order forms, quotes accepted by the parties, service descriptions expressly incorporated by reference, or other written or electronic agreements including Covered Agreements.

1.3

If you purchase, order, subscribe to, access, or use any Services, those Services are governed by the applicable Covered Agreement(s). To the extent of any inconsistency between these Terms and an applicable Covered Agreement, the Covered Agreement controls with respect to the applicable Services, deliverables, pricing, service levels, data Processing, security commitments, support obligations, renewal, termination, and any other service-specific subject matter. These Terms continue to govern your general use of the Site to the extent not inconsistent with the applicable Covered Agreement.

1.4

Except as expressly provided in a Covered Agreement, these Terms do not obligate Verito to provide any Services, accept any order, or deliver any work product.

2. Eligibility Authority Business Use

2.1

The Site and Services are intended primarily for business and professional use. You may use the Site only if you are at least eighteen (18) years old and have full power and authority to enter into these Terms.

2.2

You will use the Site and any applicable Services solely for lawful purposes and in compliance with all applicable laws, rules, and regulations. You are responsible for ensuring that your personnel, representatives, contractors, and other users who access the Site or Services through your systems or credentials comply with these Terms and any applicable Covered Agreements.

3. Changes to These Terms

3.1

Verito may amend these Terms from time to time by posting an updated version at the applicable URL or otherwise making the updated Terms available through the Site or Services. Unless a different effective date is stated, an amendment becomes effective upon posting.

3.2

Your continued access to or use of the Site or any applicable Services after the effective date of revised Terms constitutes your acceptance of the revised Terms, except to the extent a Covered Agreement expressly provides a different amendment process for the applicable Services.

4. Privacy Policy DPA Data

4.1

Your access to and use of the Site are also subject to Verito's Privacy Policy, which is incorporated into these Terms by reference. Capitalized data-protection terms used and not otherwise defined in these Terms have the meanings given to them in the DPA, which can be located here: https://verito.com/data-processing-agreement

4.2

To the extent Verito collects, uses, or discloses personal data or other information for its own business operations, including website, marketing, visitor, account, billing, payment, support, security, fraud prevention, identity verification, analytics, product improvement, and similar business-operational purposes, such data constitutes Verito Business Data, and Verito acts in the role described in its Privacy Policy, the DPA, and applicable law, and not as your processor, service provider, or contractor solely by virtue of these Terms.

4.3

Where Verito Processes Customer Personal Data on your behalf in connection with Services governed by a Covered Agreement, the DPA is incorporated into and forms part of the applicable Covered Agreement and governs solely with respect to the Processing of Customer Personal Data. These Terms do not expand Verito's obligations under the DPA or convert Verito Business Data into Customer Personal Data.

4.4

Except as expressly stated in a Covered Agreement or the DPA, you are solely responsible for determining whether your use of the Site or Services, and the data you submit to them, complies with applicable laws, contractual obligations, and regulatory requirements.

5. Site Content Informational Materials No Reliance

5.1

The Site may contain descriptions of Services, pricing examples, case studies, white papers, blog posts, compliance guides, downloadable templates, FAQs, marketing materials, webinars, demonstrations, and other content or materials made available by Verito ("Site Content"). Site Content is provided for general informational purposes only.

5.2

Unless expressly stated in a Covered Agreement, Site Content does not constitute legal advice, tax advice, accounting advice, cybersecurity advice, regulatory advice, a guarantee of any result, or a commitment that any particular Service, feature, control, integration, uptime level, migration timeline, response time, or compliance outcome will be available to you.

5.3

References on the Site to security frameworks, industry practices, IRS Publication 4557, the FTC Safeguards Rule, GLBA, WISP support, compliance support, audit readiness, or similar concepts describe the general nature of certain Services and are not independent warranties or guarantees of legal or regulatory compliance. Unless a Covered Agreement expressly states otherwise, Verito does not act as your legal advisor, compliance certifier, or Qualified Individual, and you remain responsible for your own policies, controls, incident notifications, and legal compliance.

6. Accounts Credentials Communications

6.1

Certain portions of the Site or Services may require you to create or use an account, support portal, trial environment, or other access credentials. You must provide accurate, current, and complete information and promptly update it if it changes.

6.2

You are responsible for maintaining the confidentiality of your usernames, passwords, tokens, keys, and other access credentials, for restricting access to your devices and systems, and for all activities that occur under your account or credentials, whether or not authorized by you, except to the extent caused by Verito's breach of these Terms or the applicable Covered Agreement.

6.3

You will promptly notify Verito of any unauthorized access to or use of your account or credentials, any known or suspected compromise of the Site or Services, or any other security incident relating to your account.

6.4

By submitting information through the Site or otherwise communicating with Verito electronically, you consent to receive communications from Verito electronically, including notices, disclosures, invoices, service-related communications, and responses to your requests, subject to applicable law and any different requirements in a Covered Agreement.

7. Acceptable Use Restrictions

You may use the Site and any applicable Services only for your internal business purposes and only in accordance with these Terms and any applicable Covered Agreement. You will not, and will not permit any other person to:

7.1

use the Site or any Services in violation of applicable law or in connection with fraudulent, misleading, deceptive, abusive, harassing, defamatory, obscene, infringing, or otherwise unlawful content or conduct

7.2

access or use the Site, any support portal, demo environment, trial environment, or other Verito systems for competitive analysis, benchmarking, monitoring, scraping, data harvesting, training artificial intelligence models, or building or improving a competing product or service, except with Verito's prior written consent

7.3

copy, modify, frame, mirror, distribute, republish, sell, resell, lease, sublicense, or otherwise commercially exploit the Site or any Site Content, except as expressly permitted in writing by Verito

7.4

reverse engineer, decompile, disassemble, decode, adapt, circumvent, interfere with, or otherwise attempt to derive source code from any Site functionality, software, or technology, except to the limited extent such restriction is prohibited by applicable law

7.5

bypass, disable, or interfere with security measures, rate limits, authentication mechanisms, or access controls for the Site or Services

7.6

use any robot, spider, scraper, crawler, bot, script, or other automated means to access, monitor, extract data from, or otherwise interact with the Site, except for standard search engine indexing and other activities expressly authorized in writing by Verito

7.7

upload, transmit, introduce, or distribute viruses, malware, ransomware, spyware, malicious code, destructive scripts, or other harmful materials

7.8

access or attempt to access non-public areas of the Site, accounts, systems, or data not intended for you

7.9

interfere with or disrupt the integrity, availability, or performance of the Site, the Services, or any related systems or networks or

7.10

submit false, incomplete, or misleading information in connection with any inquiry, order, support request, or application.

8. Orders Quotes Trials Purchased Services

8.1

Any quote, proposal, pricing page, estimate, trial offer, or description of Services made available through the Site is informational and non-binding unless and until Verito accepts your order or enters into a Covered Agreement with you.

8.2

Free trials, pilot environments, beta offerings, demonstrations, evaluation access, and promotional offers may be subject to additional terms, limits, or eligibility criteria communicated by Verito. Verito may modify, suspend, or discontinue any such offering at any time in its discretion.

8.3

Purchased Services are governed exclusively by the applicable Covered Agreements. Without limiting the foregoing, fees, billing, renewals, service levels, support commitments, implementation timelines, data retrieval rights, and post-termination obligations for Purchased Services are governed by the applicable Covered Agreements and not by these Terms unless the applicable Covered Agreement expressly provides otherwise.

9. Intellectual Property Limited License Feedback

As between you and Verito, Verito and its licensors own all right, title, and interest in and to the Site, Site Content, Verito trademarks, logos, service marks, technology, software, documentation, designs, text, graphics, audiovisual materials, and other content or materials provided by or on behalf of Verito, together with all related intellectual property rights (collectively, "Verito IP"). Subject to your compliance with these Terms, Verito grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable right to access and use the Site and Site Content solely for your internal business purposes and solely in the manner made available by Verito. No rights are granted to you by implication, estoppel, or otherwise except as expressly stated in these Terms. All rights not expressly granted are reserved by Verito and its licensors.

If you provide Verito with any feedback, suggestions, ideas, comments, enhancement requests, or recommendations regarding the Site or Services ("Feedback"), you hereby irrevocably assign to Verito all right, title, and interest in and to such Feedback and all intellectual property rights therein. To the extent any such rights do not vest in Verito by the foregoing assignment, you grant Verito a perpetual, irrevocable, worldwide, exclusive, transferable, sublicensable, royalty-free, fully paid-up right and license to use, reproduce, modify, create derivative works from, disclose, distribute, perform, display, and otherwise exploit the Feedback for any lawful purpose without restriction or obligation to you. At Verito's request, you will execute such further documents and take such further actions as may be reasonably requested to evidence, perfect, or enforce the foregoing assignment and license.

10. Your Content Submissions No Confidentiality for Site Submissions

10.1

Except as expressly stated in a Covered Agreement or separate written nondisclosure agreement signed by Verito, information, materials, or content that you submit through public or general Site features, including contact forms, trial requests, scheduling pages, support inquiries prior to onboarding, surveys, and marketing forms, will not be treated as your confidential information.

10.2

You should not submit through public Site forms any information that is highly sensitive, regulated, or subject to heightened confidentiality obligations unless and until an applicable Covered Agreement or separate written agreement is in place and the Site or Service is expressly intended for that purpose.

10.3

You represent and warrant that any information, content, or materials you submit through the Site: (a) are accurate and complete in all material respects (b) do not violate applicable law or the rights of any third party and (c) do not include malware, malicious code, or other harmful materials.

11. Third-Party Services Links Integrations

11.1

The Site may contain links to third-party websites, applications, platforms, software, payment processors, scheduling tools, support tools, marketplaces, social media pages, or other third-party services ("Third-Party Services"). Verito does not control and is not responsible for Third-Party Services, including their availability, content, privacy practices, or terms.

11.2

Your use of any Third-Party Services is at your own risk and subject to the applicable third party's terms and policies. References or links to Third-Party Services do not imply endorsement, sponsorship, or affiliation unless expressly stated by Verito.

11.3

If any Service offered by Verito interoperates with, depends on, or includes Third-Party Services, the terms governing those Third-Party Services may apply in addition to the applicable Covered Agreement.

12. Availability Changes Suspension

12.1

Verito may modify, update, suspend, or discontinue all or any part of the Site, Site Content, or any non-contracted feature or offering at any time, with or without notice, and without liability except as expressly provided in an applicable Covered Agreement.

12.2

Verito may suspend or restrict your access to the Site or any applicable Services immediately if Verito reasonably believes that: (a) you are violating these Terms or any applicable Covered Agreement (b) your use poses a security risk to the Site, the Services, Verito, or any third party (c) your use is fraudulent, abusive, or unlawful (d) suspension is required by law, legal process, or a government request or (e) it is otherwise necessary to protect the Site, the Services, or Verito's customers, systems, personnel, or rights.

12.3

Verito will use commercially reasonable efforts to restore suspended access after the issue giving rise to the suspension is resolved, where restoration is appropriate.

13. Warranties Disclaimer

THE SITE, SITE CONTENT, AND ALL RELATED MATERIALS ARE PROVIDED "AS IS," "AS AVAILABLE," AND WITH ALL FAULTS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VERITO DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, ACCURACY, COMPLETENESS, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE OF TRADE.

WITHOUT LIMITING THE FOREGOING, VERITO DOES NOT WARRANT THAT THE SITE OR ANY SITE CONTENT WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, AVAILABLE AT ANY PARTICULAR TIME OR LOCATION, FREE FROM HARMFUL COMPONENTS, OR THAT DEFECTS WILL BE CORRECTED. VERITO DOES NOT WARRANT THAT ANY SITE CONTENT, MARKETING MATERIAL, DEMONSTRATION, SECURITY DESCRIPTION, OR COMPLIANCE DESCRIPTION WILL MEET YOUR REQUIREMENTS OR RESULT IN ANY PARTICULAR OUTCOME.

ANY WARRANTIES WITH RESPECT TO PURCHASED SERVICES, IF ANY, ARE GOVERNED EXCLUSIVELY BY THE APPLICABLE COVERED AGREEMENT.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL VERITO OR ITS AFFILIATES, LICENSORS, SUPPLIERS, SERVICE PROVIDERS, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, OR AGENTS BE LIABLE UNDER OR IN CONNECTION WITH THESE TERMS, THE SITE, OR THE SITE CONTENT FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, ENHANCED, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, USE, DATA, OR REPUTATION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE COLLECTIVE AGGREGATE LIABILITY OF VERITO AND ITS AFFILIATES, LICENSORS, SUPPLIERS, SERVICE PROVIDERS, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND AGENTS ARISING OUT OF OR RELATING TO THESE TERMS, THE SITE, OR THE SITE CONTENT WILL NOT EXCEED THE GREATER OF (A) TEN THOUSAND U.S. DOLLARS ($10,000) OR (B) IF YOU ARE A PAYING CUSTOMER UNDER AN APPLICABLE COVERED AGREEMENT AND THE CLAIM ARISES SOLELY FROM YOUR ACCESS TO OR USE OF THE SITE RATHER THAN FROM THE PURCHASED SERVICES, THE TOTAL AMOUNTS PAID OR PAYABLE BY YOU TO VERITO UNDER THE APPLICABLE COVERED AGREEMENT FOR THE APPLICABLE PURCHASED SERVICES DURING THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. THE EXCLUSIONS AND LIMITATIONS IN THESE TERMS APPLY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW AND DO NOT LIMIT LIABILITY TO THE EXTENT SUCH LIMITATION IS PROHIBITED BY APPLICABLE LAW. TO THE EXTENT A CLAIM IS GOVERNED BY A COVERED AGREEMENT, THE LIABILITY LIMITATIONS IN THE COVERED AGREEMENT CONTROL.

15. Indemnification

You will defend, indemnify, and hold harmless Verito, its affiliates, and their respective officers, directors, employees, contractors, agents, licensors, and service providers from and against any and all claims, actions, demands, investigations, liabilities, damages, judgments, settlements, penalties, fines, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your access to or use of the Site or any applicable Services in violation of these Terms or any Covered Agreement (b) any information, content, or materials submitted by or on your behalf through the Site (c) your violation of applicable law or the rights of any third party or (d) your negligence, fraud, or willful misconduct. Verito may participate in the defense of any claim with counsel of its choosing at its own expense. You will not settle any claim in a manner that admits fault of, imposes obligations on, or otherwise adversely affects Verito without Verito's prior written consent, not to be unreasonably withheld, conditioned, or delayed.

16. Term Termination

These Terms take effect when you first access or use the Site or otherwise accept them and continue until terminated in accordance with these Terms. You may stop using the Site at any time. Subject to any contrary provision in an applicable Covered Agreement, Verito may terminate or suspend your access to the Site or any portion of it at any time, with or without notice, for any reason or no reason, including if Verito reasonably believes you have violated these Terms, a Covered Agreement, or applicable law.

Upon termination of these Terms or your right to use the Site, all rights granted to you under these Terms will immediately terminate, and you must cease all use of the Site and Site Content except as otherwise expressly permitted by an applicable Covered Agreement.

Termination of these Terms does not terminate any Covered Agreement, and termination or expiration of a Covered Agreement does not by itself terminate these Terms with respect to your continued use of the Site. Notwithstanding the foregoing, with respect to any Services governed by a Covered Agreement, any service-specific termination, suspension, expiration, transition, data retrieval, data deletion, and post-termination rights and obligations are governed and controlled by the applicable Covered Agreement.

17. Governing Law Venue Dispute Resolution

17.1 Covered Agreement Disputes

If a dispute, claim, or controversy arises out of or relates to a Purchased Service or another matter governed by a Covered Agreement, that dispute will be governed by and resolved in accordance with the governing-law, venue, arbitration, forum-selection, jury-waiver, class-action-waiver, and dispute-resolution provisions of the applicable Covered Agreement.

17.2 Governing Law

Except for disputes governed by a Covered Agreement, these Terms and all disputes, claims, controversies, and causes of action arising out of or relating to these Terms, the Site, the Site Content, or your access to or use of the Site, whether sounding in contract, tort, statute, fraud, misrepresentation, or any other legal theory, are governed by the laws of the State of Florida, without regard to its conflict of laws principles.

17.3 Binding Arbitration

Except for Excluded Claims described in the below Section and except for disputes governed by a Covered Agreement, any dispute, controversy, or claim arising out of or relating to these Terms, the Site, the Site Content, or your access to or use of the Site will be resolved exclusively and finally by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules then in effect, except as modified by these Terms. The arbitration will be conducted before a single arbitrator. The seat and place of arbitration will be Orange County, Florida. The arbitrator will have exclusive authority to resolve all issues relating to the interpretation, applicability, enforceability, and scope of this arbitration provision, except that any issue relating to the enforceability of the class-action waiver in Section 17.6 may be determined only by a court of competent jurisdiction. The arbitrator may award any remedy available under applicable law or in equity on an individual basis, but only to the extent such remedy is not otherwise disclaimed, limited, or excluded under these Terms. The arbitrator's award will be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.

17.4 Excluded Claims Court Proceedings

Nothing in these Terms prevents Verito from seeking temporary, preliminary, or permanent injunctive relief, specific performance, attachment, replevin, or other equitable or provisional relief in any court of competent jurisdiction to protect its intellectual property, confidential information, systems, data, security, or other rights or property, and any such action will not waive Verito's right to require arbitration of any other claim. In addition, either party may apply to a court of competent jurisdiction to compel arbitration, stay litigation pending arbitration, or confirm, vacate, modify, or enforce an arbitration award. For any court proceeding permitted under this Section 17, each party irrevocably submits to the exclusive personal jurisdiction and venue of the state courts located in Orange County, Florida and the United States District Court for the Middle District of Florida (Orlando Division), and waives any objection based on forum non conveniens or improper venue.

17.5 Arbitration Procedure Confidentiality

The parties will maintain the existence of the arbitration, the arbitration proceeding, all materials submitted or exchanged in the arbitration, and any award as confidential, except to the extent disclosure is reasonably necessary to conduct the arbitration, seek provisional relief, enforce or challenge an award, comply with applicable law, legal process, or a court order, or pursue insurance coverage or indemnification rights. The arbitrator will permit reasonable discovery consistent with the expedited and cost-effective nature of arbitration and may issue protective orders as appropriate. The arbitrator will issue a reasoned written award upon request of either party.

17.6 Class Action Waiver Jury Waiver

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ALL DISPUTES SUBJECT TO ARBITRATION UNDER THESE TERMS MUST BE RESOLVED ON AN INDIVIDUAL BASIS ONLY AND NOT ON A CLASS, COLLECTIVE, CONSOLIDATED, MASS, PRIVATE ATTORNEY GENERAL, OR REPRESENTATIVE BASIS. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S OR ENTITY'S CLAIMS AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF CLASS, COLLECTIVE, CONSOLIDATED, MASS, PRIVATE ATTORNEY GENERAL, OR REPRESENTATIVE PROCEEDING. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EACH PARTY ALSO WAIVES ANY RIGHT TO A TRIAL BY JURY IN ANY ACTION OR PROCEEDING PERMITTED IN COURT UNDER THESE TERMS.

17.7 Prevailing Party

In any arbitration or court proceeding arising out of or relating to these Terms, the prevailing party will be entitled to recover its reasonable attorneys' fees, costs, and expenses from the non-prevailing party, in addition to any other relief awarded, to the extent permitted by applicable law.

18. General

18.1 Assignment

You may not assign, delegate, or otherwise transfer these Terms or any of your rights or obligations under these Terms without Verito's prior written consent. Any purported assignment in violation of the foregoing is void. Verito may assign or transfer these Terms, in whole or in part, with or without notice, in connection with a merger, reorganization, acquisition, financing, corporate restructuring, or sale of all or substantially all of its assets or voting securities, or to an Affiliate.

18.2 No Third-Party Beneficiaries

Except as expressly stated in these Terms, there are no third-party beneficiaries to these Terms.

18.3 Notices

Unless a Covered Agreement expressly provides otherwise, notices under these Terms must be in writing. Verito may provide notices to you by posting them on the Site, by email to the email address associated with your account or inquiry, or by other reasonable means. Notices to Verito must be sent to the contact information designated by Verito on the Site or, if none is designated, to Verito's principal business email or mailing address then identified on the Site.

18.4 Force Majeure

Except for your payment obligations under an applicable Covered Agreement, neither party will be liable for any delay or failure to perform these Terms to the extent caused by events beyond the affected party's reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, utility failures, internet or telecommunications failures, governmental actions, or failures of third-party service providers, provided that the affected party uses commercially reasonable efforts to mitigate the effects of the event.

18.5 Waiver

No failure or delay by Verito in exercising any right, remedy, power, or privilege under these Terms operates as a waiver. Any waiver must be in writing and signed by Verito's authorized representative.

18.6 Severability

If any provision of these Terms is held invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent permitted, and the remaining provisions will remain in full force and effect.

18.7 Entire Agreement Interpretation

These Terms, together with the Privacy Policy and any applicable Covered Agreements, constitute the entire agreement between you and Verito with respect to the subject matter of these Terms and supersede prior or contemporaneous understandings concerning that subject matter. Headings are for convenience only and do not affect interpretation. The words "including," "include," and similar terms are to be construed without limitation.

18.8 Survival

Sections 1, 4, 5, 9, 10, 13, 14, 15, 17, and 18, and any other provision that by its nature should survive, survive termination or expiration of these Terms.
